Merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. effective 01/01/2026
We inform Customers, Suppliers, Partners and Stakeholders that on 01/01/2026 will take effect the merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. Pursuant to Articles 2501 et seq. and 2504-bis of the Civil Code, all active and passive legal relations pertaining to Barbiflex S.r.l. continue without interruption under the incorporating company Pintex S.r.l., which assumes the new company name “Barbiflex S.r.l.”.
This strategic shift strengthens our industrial capacity, innovation and customer service in the nonwoven fabrics sector. We will continue to invest in quality, reliability and sustainability along the entire production chain.
The merger does not result in operational disruptions: orders, supplies, service and warranties follow smoothly. Pre-existing contracts, terms of sale/purchase, price lists, offers, and agreements remain valid, unless any updates are shared in writing.

Le fatture con data ≤ 31/12/2025 restano intestate ai precedenti soggetti secondo le regole vigenti.
Eventuali retrodatazioni contabili/fiscali previste dal progetto di fusione non modificano le modalità operative per Clienti e Fornitori.
Staff and contacts:
Tutto il personale prosegue il rapporto di lavoro ai sensi dell’art. 2112 c.c. I referenti commerciali, tecnici e amministrativi restano invariati. Le caselle e-mail e i numeri di telefono attuali continuano a funzionare; nuovi domini/mail saranno comunicati in caso di aggiornamenti.
Privacy (GDPR):
I dati personali trattati da Barbiflex S.r.l. confluiscono in Barbiflex S.r.l. (già Pintex S.r.l.) in qualità di nuovo Titolare del trattamento. Informativa Privacy al presente link.
Operational FAQ
Does my company need to sign new contracts?
No. I contratti in essere proseguono automaticamente con la società incorporante (art. 2504-bis c.c.).
Will VAT number and tax data change for invoices from 01/01/2026?
Sì: dal 01/01/2026 le fatture vanno intestate a Barbiflex S.r.l. (C.F./P.IVA 08182960966).

Che cosa succede agli ordini già confermati?
They remain valid and will be processed without changes to the reported timelines, except in cases of force majeure.
Do price lists and trading conditions change?
They remain unchanged unless specifically agreed to in writing. Any updates will be communicated.

Usate l’IBAN già a vostre mani per fatture con data ≥ 01/01/2026. Eventuali bonifici su vecchi IBAN saranno riallineati evitando disservizi.
