Merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. effective 01/01/2026
We inform Customers, Suppliers, Partners and Stakeholders that on 01/01/2026 will take effect the merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. Pursuant to Articles 2501 et seq. and 2504-bis of the Civil Code, all active and passive legal relations pertaining to Barbiflex S.r.l. continue without interruption under the incorporating company Pintex S.r.l., which assumes the new company name “Barbiflex S.r.l.”.
This strategic shift strengthens our industrial capacity, innovation and customer service in the nonwoven fabrics sector. We will continue to invest in quality, reliability and sustainability along the entire production chain.
The merger does not result in operational disruptions: orders, supplies, service and warranties follow smoothly. Pre-existing contracts, terms of sale/purchase, price lists, offers, and agreements remain valid, unless any updates are shared in writing.

Billing and documents:
From 01/01/2026 invoices will be issued by Barbiflex S.r.l. (C.F./P.IVA 08182960966).
Invoices dated ≤ 12/31/2025 will remain issued to the previous entities in accordance with the rules in force.
Any accounting/tax backdating provided for in the merger project does not alter the operating procedures for Customers and Suppliers.
Staff and contacts:
All personnel continue their employment relationship pursuant to Article 2112 of the Italian Civil Code. The commercial, technical, and administrative contacts remain unchanged. Current email addresses and telephone numbers continue to work; new domains/emails will be communicated in case of updates.
Privacy (GDPR):
The personal data processed by Barbiflex S.r.l. are transferred to Barbiflex S.r.l. (formerly Pintex S.r.l.) as the new Data Controller. Privacy Policy available here link.
Operational FAQ
Does my company need to sign new contracts?
No. Existing contracts continue automatically with the surviving company (Art. 2504-bis of the Italian Civil Code).
Will VAT number and tax data change for invoices from 01/01/2026?
Yes: starting from 01/01/2026, invoices must be made out to Barbiflex S.r.l. (Tax Code/VAT No. 08182960966).
Update the vendor/customer master data.
What happens to already confirmed orders?
They remain valid and will be processed without changes to the reported timelines, except in cases of force majeure.
Do price lists and trading conditions change?
They remain unchanged unless specifically agreed to in writing. Any updates will be communicated.
Do I need to change IBAN?
Use the IBAN you already have for invoices dated ≥ 01/01/2026. Any bank transfers sent to old IBANs will be realigned to avoid disruptions.
Should RUPs/portals of e-procurement and SDI be updated?
Yes, with the new company name and tax code/VAT number 08182960966 and SDI code BY5KTZZ, starting from 01/01/2026.
How are personal data handled?
Flowing into the new Holder, in compliance with the GDPR.
Does the staff remain the same?
Yes. Reports and protections continue pursuant to Article 2112 of the Italian Civil Code; the contacts remain unchanged.
